These Terms of Service ("Terms") govern your use of https://nextwavegroup.pro/ (the "Site"), operated by Next Wave Group LLC ("Next Wave Group", "we", "us" or "our"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

1. What the Site is

The Site describes our digital marketing services for home service businesses, including Google Ads, Meta Ads, SEO, Google Maps optimization, lead tracking and conversion optimization. The Site is for general information and is not an offer that you can accept to form a contract.

2. Services are provided under a separate agreement

Using the Site or messaging us does not create a client relationship. Paid services are governed by a separate proposal, statement of work or service agreement, which controls over these Terms for the services it covers.

3. Permitted use

You agree to use the Site only for lawful purposes. You will not:

• Attempt to gain unauthorized access to the Site, its servers or related systems.
• Interfere with or disrupt the Site, or introduce malware or harmful code.
• Scrape, copy or republish Site content at scale without our written permission.
• Use the Site to send spam, false information or content that infringes the rights of others.
• Misrepresent your identity or affiliation when contacting us.

4. Intellectual property

The Site, including its text, design, graphics, logos, images and code, is owned by or licensed to Next Wave Group, except for third-party content identified on the Site, and is protected by US and international intellectual property laws. You may view the Site and share links to it for personal or internal business purposes. You may not copy, modify, distribute or create derivative works from Site content without our prior written consent. Third-party names and trademarks, such as Google, Meta, WhatsApp and WhatConverts, belong to their owners and do not imply endorsement or partnership unless we state so.

5. Results and examples

Results depend on many factors outside our control, including your market, budget, competition, offer, pricing, sales process and the policies and algorithms of third-party platforms. Past results do not guarantee future results, and we make no promise of specific rankings, traffic, leads, revenue or return on ad spend.

6. Communications

When you contact us by WhatsApp, email or phone, you agree that we may reply to you through the same channel.

7. Third-party links and services

The Site links to third-party services, such as WhatsApp. They are governed by their own terms and privacy policies. We are not responsible for their content, availability or practices, and you use them at your own risk.

8. Disclaimer of warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

9. Limitation of liability

To the fullest extent permitted by law, Next Wave Group and its owners, employees and contractors are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of or inability to use the Site, even if we were told such damages were possible. Our total liability for any claim relating to the Site will not exceed US $100. Nothing in these Terms excludes liability that cannot be excluded under applicable law. Liability for paid services is governed by the applicable service agreement.

10. Indemnification

You agree to indemnify and hold harmless Next Wave Group from claims, losses and expenses (including reasonable attorneys' fees) arising from your misuse of the Site or your violation of these Terms or applicable law.

11. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules. Any dispute relating to the Site or these Terms will be brought exclusively in the state courts located in Montgomery County, Texas, or, where federal jurisdiction exists, the federal court for the district that includes that county, and you consent to their jurisdiction.

12. Changes to the Site and these Terms

We may change, suspend or discontinue any part of the Site at any time. We may update these Terms by posting a new version on the Site. Your continued use of the Site after changes means you accept them.

13. General

If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
